Associate (Derivatives and Structured Finance)

Provide senior-level counsel to financial institutions and corporate clients on the structuring of bespoke derivative and structured finance transactions (including but not limited to funding agreement-backed repurchase transactions, significant risk transfer trades, total return swaps, loan-linked hedging transactions and deal-contingent hedge transactions). Provide senior-level counsel to financial institutions and corporate clients on numerous aspects of the derivatives regulatory framework in the United States (including margin, trade execution, clearing, and business conduct requirements) as well as applicable U.S. federal regulations (including Dodd-Frank). Provide senior-level counsel to financial institutions and/or corporate clients in their capacities as borrower, sponsor or lender on the derivative-aspects of project finance transactions in the energy/infrastructure sector. Lead negotiations of complex derivative and structured finance transactions including ISDA agreements and related collateral support documentation. Review conditions precedent documentation (such as opinions and board resolutions) and other onboarding/KYC documentation prepared by junior attorneys. Conduct complex legal research and analysis, draft and review memoranda of law and other legal documents and remain up to speed on the latest regulatory and legal developments. Oversee/manage due diligence investigations. Manage junior and mid-level attorneys, law clerks and paralegals engaged in derivative and structured finance transactions. Conduct firm recruitment and hiring process for new attorneys. Launch, together with partners, marketing and business development initiatives (including drafting and delivering pitches, requests for quotation, client relationship meetings, and other business development events) and manage financial and administrative aspects of client engagements and matters (including pricing estimates, billing, and conflicts clearance). Requirements:Juris Doctor (J.D.), Master of Laws (LL.M.) or foreign equivalent, and 2 years of experience in position offered or as an Associate (Admitted or Unadmitted) at an international law firm with annual revenues in excess of $2 billion.* All required experience must have included: advising financial institutions and corporate clients on the structuring of complex derivative and structured finance transactions (including but not limited to funding agreement-backed repurchase transactions, significant risk transfer trades, total return swaps, loan-linked hedging transactions and deal-contingent hedge transactions); advising financial institutions and corporate clients in their capacities as borrower, sponsor or lender on the structuring of the derivative-aspects of project finance transactions in the energy/infrastructure sector; assisting in the negotiations for and drafting of transaction documents including ISDA Agreements and related collateral support documentation; preparing conditions precedent documentation (such as, opinions and board resolutions) and other onboarding/KYC documentation; conducting complex and highly sophisticated research and analysis, drafting of legal documents, and performing due diligence investigations; and reviewing law clerks, trainees and/or summer associates work, providing advice, delegating work priorities and assigning tasks to team members. * Must be admitted to practice law in New York State.
