Mergers & Acquisitions Associate - Midlevel - San Francisco

Overview Davis Wright Tremaine LLP is seeking a midlevel associate to join our Corporate practice with a focus on mid-market mergers and acquisitions in our Seattle, San Francisco, or Portland offices. Responsibilities Support middle-market mergers and acquisitions, including buy‑side and sell‑side transactions for private companies and strategic investors Assist with transaction structuring, due diligence, negotiation, and closing processes Draft and negotiate transaction documents, including purchase agreements, disclosure schedules, ancillary agreements, and closing documentation Coordinate and manage due diligence review and workstreams across deal teams Advise clients on general corporate governance and transactional matters in connection with M&A transactions Work closely with partners, senior associates, and clients to manage deal timelines and deliverables Collaborate with attorneys across the firm in related practice areas, including tax, real estate, employment, intellectual property, and technology transactions Qualifications 3–5 years of experience in M&A work at a law firm Experience supporting private company mergers and acquisitions preferred Strong drafting, negotiation, analytical, and organizational skills Ability to manage multiple workstreams in a fast‑paced, team‑oriented environment Demonstrated interest in transactional practice and working on complex corporate matters J.D. from an accredited law school and admission (or eligibility for admission) in the state where the position is based Compensation & Benefits Salary Range: The annualized salary range for this position is $215,000 to $290,000. Actual pay will be adjusted based on the candidate’s education, training, experience and other job‑related factors permitted by law.
