Corporate and Securities Counsel

Job Overview A law firm seeks an experienced Corporate and Securities Counsel to join its team in Greensboro, NC. The role involves representing large Nasdaq and NYSE-listed public company clients across various industries, focusing on complex securities, corporate governance, capital markets, and regulatory matters. This position offers a reduced billable-hour requirement, allowing the attorney to concentrate on providing high-quality legal counsel without the pressures of business development or firm management responsibilities. Duties Advise public companies on Securities Act of 1933 and Securities Exchange Act of 1934 matters. Handle securities offerings and capital markets transactions. Manage periodic reporting on Forms 10-K, 10-Q, and 8-K. Oversee proxy statements and annual shareholder meeting matters. Ensure compliance with Section 16 reporting and beneficial ownership. Provide corporate governance and board advisory services. Requirements 8+ years of corporate and securities experience. Experience with large regional or national law firms, in-house legal departments, or the SEC preferred. Substantial experience advising public companies on securities matters. Excellent academic credentials and strong analytical abilities. Outstanding written and oral communication skills. Licensed to practice law in the relevant jurisdiction or eligible for licensing. Education Juris Doctor (JD) degree required. Certifications Bar admission in the relevant jurisdiction. Skills Strong analytical and problem-solving skills.
