eRESI is seeking an experienced, enthusiastic and proficient team member to join the company's growing mortgage platform. The ideal candidate will have experience in residential mortgage whole loan, warehouse finance and securitization transactions and will support the legal and transaction management teams' efforts to create organizational and operational efficiencies.



Essential Duties and Responsibilities:

Position Summary
The Legal and Transaction Manager is responsible for providing high-level legal and transactional support across multiple business lines, including warehouse, whole loan, and securitization transactions. This exempt role requires strong analytical judgment, independent decision-making, and the ability to manage complex projects in a fast-paced, high-volume environment. The position involves close collaboration with legal, finance, operations, and capital markets teams to ensure accurate execution and compliance with company and regulatory standards.


Key Responsibilities

• Legal and Transactional Support
  • Prepare, review, and negotiate transaction agreements and related documentation, ensuring alignment with business objectives and legal standards.
  • Manage the end-to-end agreement process, including intake tracking, version control, negotiation status, execution, and document retention.
  • Draft and oversee ancillary agreements, certificates, and supporting legal documents.
• Compliance and Monitoring Systems
  • Develop and maintain internal systems to monitor compliance with contractual representations, warranties, and covenants.
  • Oversee periodic reviews to identify and address potential legal or contractual risks.
  • Create and manage tools to track ongoing obligations, renewals, and reporting requirements.
• Deal Management and Coordination
  • Lead and coordinate transaction activities from pre-closing through post-closing, ensuring alignment among all internal stakeholders and external counterparties.
  • Develop and maintain detailed transaction calendars, milestone trackers, and reporting tools to monitor progress and deadlines.
  • Provide analytical and operational support for warehouse, whole loan, and securitization transactions.
• Cross-Functional Collaboration
  • Serve as a liaison between Legal, Treasury, Capital Markets, and Operations teams to ensure smooth execution and issue resolution.
  • Participate in internal and external meetings to provide legal process insight and ensure compliance with contractual and regulatory obligations.
  • Support other business initiatives as needed, demonstrating flexibility and strategic problem-solving.
• Process Improvement and Leadership
  • Identify opportunities to streamline legal workflows, improve documentation processes, and enhance communication across departments.
  • Recommend and implement best practices and technology tools to improve efficiency and accuracy in legal operations.

Required/Preferred education/Experience:

• Bachelor's degree required; JD or paralegal certification preferred.
• 5+ years of experience in legal, paralegal, or transaction management roles, preferably within financial services, capital markets, or mortgage industries.
• Strong understanding of transaction documentation (warehouse, whole loan, and/or securitization).
• Excellent organizational, analytical, and communication skills.
• Proven ability to work independently, manage multiple priorities, and meet tight deadlines.
