CLASSIFICATION: ExemptREPORTS TO: General CounselJOB DESCRIPTIONSummary/ObjectiveThe Deputy General Counsel (“DGC”) is a senior legal executive responsible for supporting the General Counsel in managing the legal and regulatory affairs of BHRB, an exchange listed, publicly traded financial holding company, and B&H Bank, its wholly owned Virginia chartered commercial bank. This role combines strategic leadership with hands-on execution, reflecting the size, complexity, and regulatory profile of BHRB and B&H Bank.The DGC serves as a key advisor to executive leadership and the Boards of Directors of BHRB and B&H Bank, with responsibility for advising on securities disclosure, banking regulation, supervisory matters, enterprise risk, and business line support. The role requires regulatory fluency, good business judgment, and the ability to operate effectively in a lean legal environment while supporting a growing and increasingly complex institution with a six-state footprint (Delaware, Kentucky, Maryland, Pennsylvania, Virginia, and West Virginia).Essential FunctionsReasonable accommodations may be made to enable individuals with disabilities to perform the essential functions.Strategic Leadership & Enterprise AdvisoryServe as a principal advisor to the General Counsel, the President, and executive leadership team on legal, regulatory, and governance matters; Provide risk-balanced, commercially practical guidance to support growth, profitability, and legal/regulatory compliance; Support department-wide initiatives of the General Counsel and executive leadership; and Act as General Counsel in the absence thereof. Public Company & Disclosure ResponsibilitiesIn coordination with the General Counsel and the Finance & Accounting Team, oversee reporting and disclosure processes consistent with rules and regulations of the U.S. Securities & Exchange Commission, including Forms 10-K, 10-Q, 8-K, proxy statements, and earnings materials; Advise on disclosure controls and procedures and partner with the Finance & Accounting Team and Investor Relations on disclosures and investors communications; Work with the General Counsel to ensure compliance with Regulation FD, insider trading policies, and NASDAQ listing standards; and Support Board and Committee governance, including materials, minutes, and governance best practices.Banking Regulation & Supervisory EngagementProvide legal guidance on applicable regulatory frameworks, including the rules and regulations of the Board of Governors of the Federal Reserve System, the Virginia Bureau of Financial Institutions, the Consumer Financial Protection Bureau, and other federal and state governmental authorities with jurisdiction over BHRB and B&H Bank; Provide legal guidance and support for federal and state supervisory examinations; Coordinate with Risk, Compliance, and Internal Audit functions to support a strong control environment; andProvide legal guidance on customer-facing products, disclosures, and marketing practices, including guidance on key consumer protection laws (e.g., UDAAP, TILA, RESPA, ECOA, FCRA) and related regulatory expectations.Business Line Support Be a resource for B&H Bank’s core business lines, including commercial lending, retail banking, mortgage, and treasury management; Review and assist in negotiation of material vendor and service provider agreements; and Advise on digital banking initiatives, fintech partnerships, and third-party risk considerations.Strategic Growth InitiativesSupport the General Counsel and executive management with mergers, whole bank acquisitions, branch transactions, and strategic investments typical of a growing regional bank; Support the General Counsel with management of legal due diligence, transaction structuring, and regulatory approval processes; and Assist with post-closing integration from a legal, regulatory, and governance perspective.Litigation, Investigations & Risk ManagementSupport the General Counsel with management of material litigation, customer disputes, regulatory inquiries, and internal investigations; Support the General Counsel with management of law firm/outside counsel relationships with a focus on cost control and outcomes; and Support risk assessment processes and implementation of cost-effective, practical resolution strategies.Legal Operations & Team LeadershipWork with the General Counsel to develop and manage a lean legal department, prioritizing high-impact work and resource allocation, including technology and process improvement; Supervise, mentor, and develop in-house legal staff; and Monitor legal and regulatory developments affecting publicly traded companies/mid-sized banks and engage with industry associations and trade groupsOther DutiesOther duties as assignedSkills/AbilitiesRegulatory Depth: Understanding of regulatory expectations for >$10B banks, including supervisory engagement and consumer compliance;Business Judgment: Ability to calibrate legal risk in a commercially practical manner;Hands-On Leadership: Willingness to engage directly in execution, not just oversight;Executive Presence: Ability to communicate effectively with executive management and the Boards of BHRB and B&H Bank;Versatility: Comfort spanning securities, regulatory, transactional, and operational legal issues;Collaboration: Willingness to foster a strong partnership with Risk, Compliance, Finance, and Internal Audit functions; andPrioritization: Ability to manage competing demands in a resource-constrained environment.Supervisory ResponsibilityThis position does not have supervisory responsibilities.Work EnvironmentThis job operates in an office setting, the opportunity to telework is not available. This position requires bending, stooping or standing as necessary.TravelExpectation for regular travel to Corporate Centers in Alexandria, VA, Moorefield, WV, and Camp Hill, PA for engagement with executive management, Board meetings, regulatory engagement, and strategic transaction discussions.For Applicants located in Northern Viriginia (VA): The pay range for this position is $175,000 - $250,000 Annually. The ranges listed for Viriginia and/or Maryland represent the good-faith compensation the Company reasonably expects to pay for the position at the time of posting. Actual compensation will be determined based on factors including, but not limited to, the candidate's skills, qualifications, experience, education, certifications, internal equity, and business needs.
