Assistant General Counsel, M&A (Glenmont)

Your Impact

As Assistant General Counsel, Corporate and M&A, you are a dynamic individual contributor who brings elite transactional training from top law firms and significant experience advising public companies on complex M&A, acquisitions, joint ventures, capital markets, securities reporting, and corporate governance. Reporting directly to the Chief Legal Officer (CLO), you will assist in managing outside counsel, personally overseeing key corporate initiatives, and ensuring all M&A activities align with legal requirements and support the company’s strategic objectives. You will advise and collaborate with Axon’s Board of Directors, C‑Suite, Corporate Development Team, and SEC & Financial Reporting Team. What You’ll Do

Location: Boston or NYC. Reports to: Chief Legal Officer.

• Help develop and implement the legal strategy for M&A activities in alignment with the company’s overall business and legal objectives.
• Advise the company on securities laws and reporting requirements.
• Drive best‑in‑class corporate governance in partnership with the CLO, including direct engagement with Axon’s Board of Directors and its committees.
• Lead and coordinate due diligence processes for potential M&A and capital markets transactions.
• Manage external legal counsel.
• Partner with the Strategy & Corporate Development team to advise the business and undertake complex M&A work.
• Prepare and present legal analyses and updates on M&A activities to the executive team and board of directors.
• Draft, review, and negotiate transaction documents – purchase agreements, term sheets, NDAs, and ancillary instruments – ensuring legal compliance and robust protection of Axon’s interests.
• Advise on and ensure compliance with securities laws.
• Liaise with regulatory authorities and manage necessary filings or approvals.
• Provide post‑merger integration legal support for contract assignments, employee transitions, regulatory compliance, and resolve any legal issues during integration.
• Other duties as assigned.

What You Bring

• J.D. from an accredited institution with outstanding academic credentials.
• Admission to a State Bar within the United States.
• Minimum 5–7 years of experience working for a top‑tier law firm; in‑house experience is a plus.
• Demonstrated legal expertise in M&A, securities law and corporate governance.
• Extensive experience managing complex M&A transactions, preferably within the technology or financial services sector.
• Excellent writing, analytical, negotiation, communication, strategic thinking and presentation skills.
• Strong understanding of corporate and securities laws, regulations and industry standards.
• Strong leadership, attention to detail, problem‑solving abilities and organization/prioritization skills.
• Demonstrated ability to work successfully with a team in a fast‑paced, dynamic environment.

Work Location

This role is based out of our NYC or Boston location and follows a hybrid schedule. We rely on in‑person collaboration and ask that team members work onsite Tuesdays through Fridays, with flexibility to work remotely on Mondays unless an approved workplace accommodation is in place.

Base Pay Range: $250,000 – $300,000 USD
