Assistant General Counsel, Corporate and M&A As Assistant General Counsel, Corporate and M&A, you are a dynamic individual contributor who brings elite transactional training and significant experience advising public companies on complex M&A, acquisitions, joint ventures, capital markets, securities reporting, and corporate governance. Reporting directly to the Chief Legal Officer, you will manage outside counsel, oversee key corporate initiatives, and ensure all M&A activities align with legal requirements and support the company’s strategic objectives. What You'll Do Location: Boston or NYC Reports to: Chief Legal Officer Responsibilities Help develop and implement the legal strategy for M&A activities in alignment with the company’s overall business and legal objectives. Advise the company on securities laws and reporting requirements. Drive best-in-class corporate governance in partnership with the CLO, including direct engagement with Axon’s Board of Directors and its committees. Help lead and coordinate comprehensive due diligence processes for potential M&A and capital markets transactions. Help manage external legal counsel. Partner with the Strategy & Corporate Development team to advise the business and undertake complex M&A work. Prepare and present legal analyses and updates on M&A activities to the executive team and board of directors. Draft, review, and negotiate transaction documents—including purchase agreements, term sheets, NDAs, and ancillary instruments—ensuring legal compliance and robust protection of Axon’s interests. Advise on and ensure compliance with securities laws. Liaise with regulatory authorities and manage necessary filings or approvals. Provide post-merger integration legal support for contract assignments, employee transitions, and regulatory compliance, resolving any legal issues during integration. Other duties as assigned. What You Bring J.D. from an accredited institution with outstanding academic credentials. Admission to a State Bar within the United States. Minimum 5-7 years’ experience working for a top-tier law firm; in-house experience is a plus. Demonstrated legal expertise in M&A, securities law and corporate governance. Extensive experience in managing complex M&A transactions, preferably within the technology or financial services sector. Excellent writing, analytical, negotiation, communication, strategic thinking, and presentation skills. Strong understanding of corporate and securities laws, regulations, and industry standards. Strong leadership, attention to detail, problem solving abilities and organization/prioritization skills. Demonstrated ability to successfully work with a team and in a fast-paced, dynamic team environment. Work Location This role is based out of the NYC or Boston location and follows a hybrid schedule: on-site Tuesdays through Fridays with remote work on Mondays, unless an approved accommodation is in place.
