About the Opportunity

\n

A well-established law firm is seeking an experienced Corporate Mid-Level Transactional Attorney to join its Corporate Practice Group in Roseland, New Jersey.

\n

This is an opportunity for a transactional attorney with substantial experience handling sophisticated corporate matters, including M&A, joint ventures, real estate joint ventures, and equity and debt financing transactions .

\n

The ideal candidate will be comfortable taking ownership of transactions, working directly with clients and counterparties, and drafting and negotiating complex corporate and commercial agreements.

\n

Key Responsibilities

\n

\n
• Manage and lead a broad range of sophisticated corporate and transactional matters.
\n
• Handle mergers and acquisitions , including both buy-side and sell-side transactions.
\n
• Structure and negotiate joint ventures , including complex real estate joint ventures.
\n
• Advise clients on equity and debt financing transactions .
\n
• Draft, review, and negotiate:
\n
• Merger and acquisition agreements
\n
• Stock purchase agreements
\n
• Asset purchase agreements
\n
• Operating agreements
\n
• Shareholder agreements
\n
• Joint venture agreements
\n
• Financing documents
\n
• Commercial and other transactional agreements
\n
• Conduct and oversee transaction due diligence.
\n
• Identify and address legal and business risks associated with transactions.
\n
• Work closely with clients, opposing counsel, financial advisors, and other professional advisors.
\n
• Manage transaction timelines and coordinate multiple parties through closing.
\n
• Provide practical, business-oriented legal advice to clients.
\n
• Develop and maintain strong client relationships.
\n
• Contribute to the continued growth of the corporate practice through client development and relationship building.

Ideal Candidate

\n

\n
• 6+ years of corporate transactional experience at a law firm.
\n
• Strong experience independently managing or leading sophisticated transactions.
\n
• Demonstrated experience with M&A, joint ventures, equity/debt financing, and general corporate matters .
\n
• Experience with real estate joint ventures is highly valued.
\n
• Strong drafting and negotiation skills.
\n
• Excellent understanding of corporate and transactional law.
\n
• Ability to manage multiple matters and deadlines in a fast-paced environment.
\n
• Strong business judgment and ability to provide practical legal solutions.
\n
• Excellent written, verbal, and interpersonal communication skills.
\n
• Demonstrated ability to work directly with clients and develop trusted relationships.
\n
• Admission to the New Jersey or New York Bar required.
\n

Compensation & Benefits

\n

Base Salary: $205,000–$235,000 annually , depending on experience and qualifications.

\n

In addition to base compensation, the position offers eligibility for:

Work Arrangement

This position follows a hybrid schedule based out of the firm's Roseland, New Jersey office , providing a combination of in-office collaboration and remote flexibility.
