Boston, MA or New York, NY (Remote)Posted 2 weeks agoLead all legal aspects of mergers, acquisitions, and strategic investment transactions from initial evaluation through post-closing integration.Advise business and corporate development teams on legal risks associated with potential transactions and growth initiatives.Draft, review, and negotiate transaction documents, including asset and stock purchase agreements, joint venture agreements, shareholder and equity-related agreements, and related ancillary documentation.Prepare and negotiate letters of intent, term sheets, confidentiality agreements, and other preliminary transaction documents.Partner with internal stakeholders across corporate development, finance, tax, HR, regulatory, and executive leadership to structure and execute strategic transactions.Coordinate and manage legal due diligence, including review of contracts, disclosure schedules, and other transaction materials.Support broader corporate governance, financing, debt, and equity matters.Develop and improve legal templates, transaction processes, and internal best practices.Provide legal advice on a variety of general corporate matters as business needs arise.Stay informed on legal and industry developments impacting the business.RequiredJ.D. from an accredited law school.5–10 years of legal experience with a strong emphasis on mergers and acquisitions.Prior law firm experience.Demonstrated experience managing multiple complex transactions simultaneously.Strong drafting, negotiation, and project management skills.Ability to work independently while collaborating effectively with cross-functional business partners.Experience advising senior executives on legal and business risk.Excellent judgment, attention to detail, and commercial mindset.Willingness to travel periodically as needed.Active bar admission in at least one U.S. jurisdiction.For additional information contact:Peter French VP & Executive Recruiter, Legal Practice Lead(443) 691-1494The Rogan Group – Legal
