Direct Counsel is partnering with a prestigious AmLaw 10 law firm to identify Corporate M&A / Private Equity Associates to join its Salt Lake City office . This is an excellent opportunity for attorneys interested in working on sophisticated mergers and acquisitions and private equity transactions within a highly regarded corporate practice.

Associates in this role will work closely with experienced deal teams representing private equity sponsors, portfolio companies, and strategic investors on complex transactions across a variety of industries.

Key Responsibilities

• Assist with mergers and acquisitions transactions , including drafting and negotiating transaction documents

• Support private equity investments, acquisitions, and exits

• Conduct due diligence and transaction management

• Draft and review purchase agreements, disclosure schedules, and related transaction documents

• Work collaboratively with partners and deal teams on complex corporate transactions

• Manage transaction timelines and coordinate with clients, advisors, and opposing counsel

Qualifications

• Experience in corporate transactions, mergers & acquisitions, or private equity matters

• Background at a top-tier law firm preferred

• Strong drafting, negotiation, and analytical skills

• Ability to manage multiple deals in a fast-paced transactional environment

• Outstanding academic credentials

• Admission to the Utah Bar or eligibility to obtain admission

Compensation

The anticipated salary range is $225,000 – $390,000 , depending on experience, qualifications, and internal compensation structures. The firm also offers a robust benefits package for attorneys and employees.
