Technology Transactions Associate Attorney

Location: San Francisco, California

Direct Counsel is seeking a Technology Transactions Associate to join the nationally recognized Technology Transactions Practice Group of a premier global law firm in San Francisco. This is an exceptional opportunity for an associate with strong intellectual property and commercial technology transaction experience to work with leading technology companies, high-growth startups, and innovative market disruptors across cutting-edge industries.

The practice advises clients on sophisticated technology and intellectual property transactions involving emerging technologies such as artificial intelligence, robotics, blockchain, fintech, software, cloud services, augmented reality, virtual reality, and semiconductors.

Responsibilities

• Draft and negotiate a broad range of commercial technology and intellectual property agreements, including:
  • Software and technology license agreements
  • Software and technology development agreements
  • Professional services agreements
  • Manufacturing agreements
  • Collaboration agreements
  • Supply and distribution agreements
• Advise clients on:
  • E-commerce transactions
  • Media and entertainment agreements
  • Cloud and as-a-service technology matters
  • Commercialization and strategic technology partnerships
• Support mergers and acquisitions and equity financing transactions by:
  • Conducting IP and commercial contract due diligence
  • Drafting transaction-related agreements
  • Advising on intellectual property and technology-related risks
• Collaborate with multidisciplinary teams on complex corporate and commercial transactions
• Provide practical, business-oriented legal advice to sophisticated technology clients

Qualifications

• J.D. from an accredited law school with strong academic credentials
• 3–6 years of technology transactions experience at a leading law firm
• Strong knowledge of intellectual property and commercial technology transactions
• Significant drafting and negotiation experience across a broad range of technology agreements
• Experience supporting M&A and financing transactions involving IP and technology matters
• Excellent analytical, drafting, negotiation, and communication skills
• Strong business judgment and client management abilities
• Entrepreneurial mindset and collaborative approach to client service
• California Bar admission preferred, or admission to another state bar with eligibility to practice as required

Compensation & Benefits

• Salary range: $260,000 – $365,000, depending on experience and qualifications
