Vice President - Funds & Distribution (Miami) H&P Executive Search has been instructed to recruit a Funds Attorney for a global & aggressively growing financial institution. Our client, a leading financial institution, is in an exciting phase of growth and is making a significant investment in expanding its legal team. As part of this strategic expansion, they are looking to hire a senior attorney to join their Miami office, focusing on fund formation and related investment management matters. Key Responsibilities Draft, review, and negotiate agreements with distribution partners, ensuring compliance with applicable regulatory requirements. Advise business stakeholders on the legal implications of launching and distributing investment products, including private funds, exchange‑traded notes, and other investment vehicles. Coordinate with external counsel on regulatory, fund formation, and compliance matters. Draft and review private fund offering documents, partnership agreements, and other fund‑related legal documentation. Review and negotiate subscription agreements, side letters, and investor documentation for institutional and high‑net‑worth investors. Partner with business development teams to support strategic growth initiatives and product expansion. Provide practical legal guidance on cross‑border distribution issues, regulatory developments, and risk management. Qualifications Juris Doctor (JD) or equivalent law degree with admission to practice in at least one U.S. jurisdiction. Minimum of 4 years' experience in investment management, private funds, or asset management legal work. Experience advising on private fund offerings, fund formation, and securities regulations. Knowledge of offshore fund structures, Regulation D offerings, and international private placement requirements. Experience in a law firm and/or in‑house legal department within asset management, investment management, or broker‑dealer environments is preferred.
