Senior Corporate/M&A Attorney

Take a lead role on sophisticated corporate transactions, including private M&A, commercial agreements, financing matters, and strategic business transactions.

This is a full time, office based opportunity in either Raleigh or Durham, North Carolina, offering close collaboration with an experienced corporate team and hands on involvement in sophisticated transactional matters.

Meaningful experience with M&A, transaction documents, contract drafting and negotiation, and client management is strongly valued.

Lead and support private buy side and sell side M&A transactions from initial structuring through closing.
Draft, review, and negotiate purchase agreements, operating agreements, commercial contracts, loan documents, disclosure schedules, private placement materials, and related transaction documents.
Advise clients on corporate structuring, transaction strategy, execution, governance, and other business law matters.
Collaborate with partners, senior attorneys, and other practice groups to deliver coordinated solutions for complex client matters.
Strong experience drafting and negotiating sophisticated corporate and commercial agreements.

• M&A experience, including familiarity with transaction structuring, due diligence, purchase agreements, and closing processes.
• Strong knowledge of corporate law, commercial transactions, and related business considerations.
• Excellent legal writing, negotiation, analytical, communication, and organizational skills.
• Ability to independently manage substantial responsibilities while collaborating effectively with a broader legal team.
