Multiple Locations: New York, NY | Florham Park, NJ | Philadelphia, PA | Washington, D.C. | Indianapolis, IN | Fort Wayne, IN | Chicago, IL | Minneapolis, MN | Denver, CO Job Overview Our client is seeking a Corporate Associate – Finance with 3–6 years of experience to join its nationally recognized Corporate Practice Group. This role offers the opportunity to represent financial institutions, private credit lenders, borrowers, and corporate clients in sophisticated financing transactions. The ideal candidate will have experience in corporate finance, loan originations, secured lending, and real estate finance, along with strong drafting and negotiation skills. This is an excellent opportunity to work on complex, high-value transactions in a collaborative, partnership-track environment. Key Responsibilities Represent lenders, borrowers, financial institutions, and private credit funds in a wide range of financing transactions. Draft, review, and negotiate loan agreements, security agreements, intercreditor agreements, and related financing documents. Advise clients on covenant compliance, loan modifications, amendments, and financing structures. Lead legal due diligence efforts and coordinate multidisciplinary transaction teams. Manage specialists and oversee all aspects of finance transactions from due diligence through closing. Structure and negotiate secured lending, syndicated loans, acquisition financings, and real estate finance transactions. Review corporate organizational documents and prepare transaction closing documents. Collaborate with partners and clients on complex domestic finance transactions. Manage multiple transactions simultaneously while providing practical legal advice and exceptional client service. Qualifications Juris Doctor (J.D.) from an ABA-accredited law school. Active bar admission (or eligibility for admission) in the jurisdiction of the office where applying. 3–6 years of experience in corporate finance, banking & finance, or commercial lending. Experience representing lenders, borrowers, financial institutions, or private credit funds. Strong experience drafting and negotiating finance transaction documents. Experience leading due diligence teams and managing transaction specialists. Excellent legal writing, analytical, and communication skills. Ability to independently manage multiple complex transactions in a fast-paced environment.
