Job Insight

We are seeking a Transactional Attorney to support the Legal Contract Administration Department and provide legal advice and counsel to senior leadership and the organization. The role will focus on contract administration, drafting, reviewing and negotiating contracts, procurement and contracting matters, legal research, compliance, and development of policies and procedures. The position will also provide guidance on actual and potential legal liability, federal and state laws and regulations, organizational policies, rules and regulations, and contracting and procurement-related matters.

Key Responsibilities:

• Serve as the primary contract administrator for the Office of General Counsel and subject matter expert for district-wide contract products and services.
• Manage activities required to authorize contract approvals.
• Collaborate with management to gather, analyze, summarize, and prepare recommendations regarding contracts, sourcing strategies, practices, and procedures.
• Draft contracting policies and procedures.
• Maintain current knowledge of regulatory, legislative, and industry changes and ensure required updates are completed.
• Provide leadership in developing key long-term supply contracts to support continuous improvement.
• Ensure contracts are awarded in accordance with applicable purchasing policies and procedures.
• Manage the contract process, including contract compliance, contract accuracy, modifications, contract closeout, process improvement, project management, and problem resolution.
• Draft, review, and negotiate contracts.
• Develop and revise standard contract templates to maintain compliance with applicable laws, regulations, policies, and procedures.
• Advise internal parties on procurement and contracting matters, including contract monitoring, contract risks, contractor performance issues, and vendor/supplier protests.
• Research contract and procurement-related legal issues.
• Review contract documents for release in compliance with open records requests or related court orders.
• Review and draft bill analyses and other informational documents related to contracting and procurement legislation during legislative sessions.
• Perform other duties, tasks, and assignments as required.

Qualifications:

• Experience with contract administration and contract management.
• Experience drafting, reviewing, and negotiating contracts.
• Knowledge of federal and state laws and regulations related to contracting and procurement.
• Knowledge of procurement and contracting policies, procedures, standards, and practices.
• Ability to research contract and procurement-related legal issues.
• Strong analytical, problem-solving, and communication skills.
• Ability to collaborate with management and internal stakeholders at various levels.
• Ability to develop and revise policies, procedures, and contract templates.
• Ability to manage contract compliance, modifications, closeout activities, and related processes.
• Professional judgment and ability to address actual and potential legal liability matters.
