We are representing an internationally recognised AmLaw firm seeking a Corporate Associate to join its highly regarded M&A and Private Equity practice.

The Role:

• Advise clients on mergers and acquisitions, private equity investments, and broader corporate transactions
• Draft and negotiate purchase agreements, merger agreements, LLC agreements, LP agreements, and related transaction documents
• Manage due diligence processes and coordinate transaction workstreams
• Work directly with clients, opposing counsel, lenders, and other advisors throughout the deal lifecycle
• Assist with general corporate matters and strategic business transactions

Salary & Benefits:

What We're Looking For:

• 3–7 years of corporate transactional experience
• Strong M&A and/or private equity experience
• Experience drafting and negotiating transaction documents
• Ability to manage multiple matters and workstreams effectively
• Excellent communication, drafting, and client management skills
• Active California Bar admission or ability to obtain admission

Preferred:

• Experience representing private equity sponsors, portfolio companies, venture-backed businesses, or strategic buyers/sellers
• Large law firm or sophisticated corporate practice experience
• Strong academic credentials
