Corporate Paralegal

Transaction / Corporate Paralegal (Hybrid/Remote) The Watkins Firm, APC is seeking a highly detail-oriented and proactive Transaction / Corporate Paralegal with 3+ years of experience in corporate law and business transactions to join our growing, tech-forward firm. This is a primarily remote position open to candidates nationwide. While day-to-day work is remote, we value collaboration and relationship-building, so the ideal candidate will have general knowledge of California laws and willing and able to travel to our office periodically for meetings, planning sessions, and team collaboration (scheduled in advance). We are looking for someone who doesn’t just complete tasks—but guides the flow of work, keeps projects moving, and ensures nothing falls through the cracks. What You’ll Do You’ll play a key role in managing and supporting corporate and transactional matters, including: Retrieve certified copies of corporate documents, certificates of good standing, and legal existence documents from state and federal agencies Perform public records searches (UCC, lien, financing statements, Secretary of State, etc.) and prepare clear summary charts Redline, format, and finalize agreements (e.g., Asset Purchase Agreements, employment agreements, resolutions) Draft and edit schedules, releases, resolutions, and related transaction documents Track, calendar, and manage deadline-driven documents and deliverables Maintain corporate minute books, board books, stock ledgers, and entity records Coordinate signatures and follow up with clients, counterparties, landlords, and third parties to ensure timely completion Prepare and file IRS forms, including Form SS-4 (EIN applications) Assist with audit response letters and compliance documentation in accordance with firm processes Support transaction closings, including: Preparing signature packets Tracking execution status Organizing electronic closing rooms Assisting with closing binders and post-closing distributions What We’re Looking For 3+ years of experience as a transaction or corporate paralegal Exceptional attention to detail and follow-through Strong ability to manage multiple projects, prioritize effectively, and keep work moving to completion Excellent written and verbal communication skills Comfortable working both independently and collaboratively within a remote team Tech‑savvy mindset with genuine interest in leveraging legal technology and AI tools to improve efficiency Experience with entity management, corporate filings, and transactional workflows Willingness to travel occasionally for in-person meetings and collaboration Why Join the Watkins Firm?
