Summary: Our award-winning client is seeking a Senior Corporate Paralegal to join their team. We are currently seeking a highly qualified Senior Corporate Paralegal to join our esteemed law firm based in San Diego, CA. With a top-rated reputation, we are looking for an individual with at least 6 years of paralegal experience specializing in Corporate law. Responsibilities:
- Organizing, preparing, and filing Articles of Incorporation/Organization, state qualifications, organizational, and related documents.
- Drafting documents for various transactions, including closing statements, UCC searches and filings, and filing annual reports in states where corporations are incorporated or qualified to do business.
- Maintaining capitalization tables, as well as stock and options ledgers.
- Organizing documents and closing books related to corporate transactions such as acquisitions and mergers.
- Developing, monitoring, and updating closing checklists.
- Conducting Blue Sky research and filings.
- Maintaining minute books in both hard copy and electronic formats.
- Managing data rooms and matter files.
- A college degree and/or a paralegal certificate.
- A minimum of 6 years of experience as a paralegal in a large law firm or legal department.
- Experience in Blue Sky matters.
- Section 16 background
- Previous exposure to both private and public company environments.
- Proficiency in Microsoft Word, Excel, and Outlook.
- Strong verbal, written, and interpersonal communication skills.
- Exceptional organizational skills and keen attention to detail.
