Technology Transactions Mid-Level Associate

Paul Hastings’ Technology Transactions Group is seeking a Mid‑Level Associate to join their dynamic and growing team. Candidates in Boston, New York, and Palo Alto are preferred. Key Responsibilities Draft, review, and negotiate a broad range of complex commercial agreements, including licenses, development and collaboration agreements, SaaS agreements, data use agreements, and strategic partnership agreements Conduct and manage IP and technology due diligence in connection with mergers, acquisitions, financings, and other corporate transactions Counsel clients on legal and regulatory issues related to artificial intelligence, including model development, data governance, risk allocation, and compliance considerations Advise clients on the licensing, protection, and commercialization of technology assets Stay current on developments in technology law, AI regulation, and market trends, and contribute to client alerts and thought leadership Qualifications 3–5 years of technology transactions experience in a law firm; demonstrated experience drafting and negotiating technology and commercial agreements; experience with intellectual property concepts and due diligence processes; excellent analytical, writing and communication skills; strong academic credentials; admitted to and in good standing in the jurisdiction where the role is located.
