The Midtown Group is partnering with a well-established law firm seeking a Corporate Paralegal to support its Corporate & Business practice. This is a great opportunity to gain hands-on experience with entity management, compliance filings, and transactional support in a fast-paced legal environment.
Responsibilities:
- Entity formations, amendments, dissolutions, and foreign qualifications
- Secretary of State filings, annual reports, and compliance tracking
- Maintain corporate records, minute books, and entity databases
- Prepare Operating Agreements, Bylaws, Corporate Resolutions, and governance documents
- Coordinate with registered agents and government agencies
- Assist with UCC filings and corporate compliance matters
- Support transactions through due diligence, signature packets, closing binders, and post-closing activities
- Obtain certificates of good standing and manage multi-state compliance requirements
Requirements:
- 3+ years of Corporate Paralegal or Corporate Legal Assistant experience
- Hands-on experience with entity management and corporate filings
- Experience with corporate governance documents
- Exposure to transactional work, due diligence, and closings preferred
- Strong organizational skills and attention to detail
Preferred Experience:
- LLCs, corporations, and partnerships
- Secretary of State filings
- UCC filings
- Corporate records maintenance
- M&A, financing, or commercial transactions
