Managing Attorney - Corporate Practice Group

Seeking a Managing Attorney - Corporate Practice Group to join a dynamic and entrepreneurial corporate practice advising business owners, entrepreneurs, and investors. This role is ideal for a seasoned attorney who enjoys acting as a strategic partner to clients—guiding them through complex transactions, structuring businesses, and supporting long-term growth initiatives.

You’ll work closely with leadership and clients to deliver practical, business-focused legal solutions while playing a key role in both client relationships and firm growth.

Key Responsibilities:

• Serve as a trusted legal advisor to business clients on a wide range of corporate and transactional matters
• Structure, negotiate, and draft agreements related to entity formation, governance, and operations
• Advise on mergers & acquisitions, corporate restructurings, and other strategic transactions
• Draft and review key corporate documents including operating agreements, shareholder agreements, buy-sell agreements, and partnership agreements
• Provide guidance on corporate governance, compliance, and risk management matters
• Collaborate with partners and internal teams on complex client engagements
• Build and maintain strong client relationships while contributing to business development efforts
• Mentor and support junior attorneys and legal staff

Requirements & Qualifications:

• Juris Doctor (JD) from an accredited law school
• Licensed and in good standing with the State Bar of Texas
• 8+ years of corporate law experience, preferably within a law firm setting
• Strong experience in business transactions, entity structuring, and contract negotiation
• Excellent analytical, drafting, and communication skills
• Ability to manage multiple matters while maintaining strong attention to detail
