Overview Emerging Business & Venture Capital Associate Attorney. Location: Multiple U.S. Offices. A nationally recognized law firm is seeking an Emerging Business & Venture Capital Associate with 2–5 years of experience to join its growing venture and emerging companies practice. This is an outstanding opportunity for an attorney passionate about working with startups, founders, venture-backed businesses, and investors through every stage of the business lifecycle—from formation through financing, growth, and strategic exit. The ideal candidate will have strong transactional experience advising emerging growth companies and venture capital investors on the legal and strategic issues that arise in fast-scaling businesses. This role offers direct client engagement, broad deal exposure, and the chance to work closely with innovative companies across multiple sectors. What You’ll Be Doing Advise startups and emerging growth companies on entity formation, governance, and day-to-day corporate matters Structure and negotiate venture financing transactions, including SAFEs, convertible notes, seed financings, and preferred equity rounds Support venture capital and private equity investments across multiple growth stages Counsel clients on federal securities law and state blue sky compliance matters Assist with joint ventures, spin-offs, and strategic corporate restructurings Handle private company mergers, acquisitions, and divestitures Draft and negotiate employment, consulting, and equity compensation agreements Provide strategic legal guidance to founders, management teams, and investors throughout the company lifecycle What We’re Looking For 2–5 years of corporate transactional experience in a law firm environment Meaningful experience representing startups, emerging growth companies, or venture capital investors Strong background in venture financings and private company transactions Experience with convertible instruments, seed financings, and preferred equity structures Working knowledge of federal securities laws and state securities compliance requirements Strong drafting, negotiation, and client communication skills Ability to work in a fast-paced, entrepreneurial environment with multiple active matters Experience at a law firm focused on emerging companies, venture capital, or private equity strongly preferred In-house experience at a high-growth technology company or venture fund experience is a plus Juris Doctor (JD) required Previous experience working in a law firm is required Active bar admission in at least one U.S. jurisdiction Why Consider This Opportunity This role offers the opportunity to become deeply embedded in the startup and venture ecosystem while advising innovative businesses at critical inflection points.
