Remote Securities Counsel

To support a client's legal team, the full-time Remote Securities Counsel will manage securities filings, compliance, and corporate governance, focusing on SEC and state regulatory filings, including Forms 10-K, 10-Q, and 8-K. Key responsibilities Prepare and oversee SEC and state regulatory filings, including registration statements and annual reports Provide guidance on executive compensation related to proxy filings and board governance Collaborate with the client's AGC - Securities Counsel to ensure compliance and effective corporate governance practices Required qualifications 5+ years of sophisticated legal experience in corporate securities Prior experience at an AmLaw 200 law firm or in the corporate legal department of a public company is strongly preferred Excellent academic credentials from an accredited law school Outstanding references Licensed to practice law and in good standing in the state of residence #J-18808-Ljbffr Latitude LLC
