Assistant General Counsel (Finance) JOB DESCRIPTION Primary purpose Provide legal support to the (i) Carbon Capture and Sequestration business team, (ii) Tallgrass Water business team, and (iii) Tallgrass fiber initiatives. Experience/Specific Knowledge Ten (10) years of relevant legal experience Intermediate proficiency level in MS Office applications that may include but are not limited to Excel, Word, Access, PowerPoint and Outlook. Certifications, Licenses & Registrations Must be licensed to practice law in the U.S. Must possess and maintain a valid driver's license and a driving record satisfactory to the Company and its insurers (for travel). Excellent verbal and written communication skills and ability to listen carefully. Strong analytical skills and logical thought processes. Ability to write clearly and effectively. PREFERRED EDUCATION, EXPERIENCE, CERTIFICATIONS, COMPETENCIES, SKILLS, & ABILITIES Above the minimum requirements; not required but advantageous in this position: Top 25% of graduating class preferred. In-house experience. Essential duties and responsibilities Draft, review and negotiate carbon sequestration and transportation agreements, carbon sales agreements, and carbon capture agreements. Draft, review and negotiate purchase and sale agreements for fresh water and gathering and disposal agreements. Experience drafting indefeasible rights of use agreements for fiber infrastructure. Draft, review and negotiate joint development agreements, developer services agreements, development funding agreements, and related agreements. General commercial contracting experience. Provide strategic advice on transaction structures taking into account state and federal regulatory schemas. Provide strategic advice on transaction structures taking into account 45Q tax requirements. Experience drafting and negotiating joint venture agreements is a plus but not required. Facilitate and oversee outside counsel. Attend and participate in staff meetings, other internal meetings and meetings with customers, investors, partners, other third parties, and/or regulators as requested. Other daily, weekly, monthly or special project duties as identified and defined.
