Position Overview

Neto Capital is a business financing company in Sunny Isles Beach. We're hiring a Corporate Counsel to run our day-to-day legal function in-house: drafting and negotiating commercial and financing agreements, advising leadership on corporate, compliance, and collections matters, and coordinating with outside counsel. This is a hands-on role working directly with management, with the opportunity to build the company's legal processes and templates from the ground up.

Key Responsibilities

• Draft, review, and negotiate commercial agreements, financing documents, vendor and partner agreements, NDAs, and settlement agreements.
• Advise leadership on corporate governance, contractual risk, compliance, and collections-related legal matters (demand letters, settlements, disputes, escalations).
• Maintain corporate records, consents, and resolutions; manage contract templates, matter tracking, and deadlines.
• Manage outside counsel on litigation, regulatory, employment, and other specialized matters.

Requirements

• Juris Doctor from an accredited law school and active admission to the New York State Bar in good standing.
• Must reside in Florida and work on-site in Sunny Isles Beach; Florida Bar admission or eligibility for Florida Authorized House Counsel registration strongly preferred.
• 3+ years in corporate law, commercial contracts, finance, lending, or financial services, with strong drafting, negotiation, and research skills.
• Independent, organized, and discreet, with the ability to explain legal risk clearly to non-lawyers and manage matters across departments.

Nice to Have

• Experience in business financing, merchant cash advance, factoring, private credit, commercial lending, or payments.
• Familiarity with UCC filings, secured transactions, guarantees, confessions of judgment, defaults, and commercial dispute resolution.
• In-house experience, including managing outside counsel and building legal templates, workflows, and policies.
• Knowledge of compliance issues in business financing, debt collection, data privacy, or marketing communications; additional languages a plus.
