Position Overview:

Beam is seeking a talented and experienced Senior Corporate Counsel, Corporate and Securities to join our growing legal team. This is a rare opportunity: a senior legal role with genuine breadth at a company where your judgment, perspective, and voice will have a meaningful impact. Reporting to the Senior Vice President, Legal Affairs, you will structure and negotiate the collaborations and licensing transactions that advance our pipeline, take a leading role in SEC reporting and corporate governance for a public company, and advise senior leadership directly. You will partner closely with business development, alliance management, finance, investor relations, and human resources, and manage outside counsel to help support Beam’s continued growth and evolution as it makes progress toward becoming a commercial-stage company.

Responsibilities:

• Partner with the business development team to negotiate and execute strategic collaboration, licensing, and acquisition agreements.
• Support SEC and public company compliance and reporting obligations, including registration statements, quarterly, annual, and current reports, proxy statements, Section 16 filings, and disclosure committee activities.
• Partner with the finance team to support capital-raising activities.
• Partner with investor relations to review external communications, including press releases, investor presentations, and social media communications.
• Advise on corporate governance matters and support the Board of Directors and its committees, including preparing and reviewing meeting materials, minutes, consents, and related governance documentation.
• Support equity compensation and other employment-related matters.
• Develop and revise policies and procedures to ensure compliance with SEC requirements and other securities laws and regulations applicable to public companies.
• Analyze and clearly communicate legal advice to internal stakeholders, including senior leadership, and support additional legal matters and strategic projects.

Qualifications:

• JD from an ABA-accredited law school; active admission and good standing in at least one U.S. jurisdiction.
• At least 5 years of relevant experience at a public biotechnology or life sciences company, in the corporate or securities practice of a leading law firm, or through a combination of such in-house and law-firm experience.
• Substantive experience with strategic transactions, public company reporting, and corporate governance.
• Developed judgment and risk management instincts, with the ability to balance complex matters involving multiple stakeholders and competing priorities while maintaining a practical, business-oriented perspective.
• Exceptional written and verbal communication skills, with a talent for making complex legal issues easy to understand.
• High degree of personal ethics, integrity, and accountability.
• This role requires onsite work in Cambridge at least two days per week.

The salary range below reflects the full-time base salary range we expect to pay for this role at the time of posting. Base pay will be determined based on several factors including, but not limited to, relevant experience, education, scope of job, internal comparisons, and market data.

Beam Pay Range

$260,000—$320,000 USD
