Direct Counsel is seeking a Private Equity Associate Attorney to join an Am Law firm’s Corporate & Securities / Private Equity practice in Chicago .

This role is suited for a midlevel associate (3–7 years of experience) with strong experience handling private equity transactions and complex M&A matters from inception through closing . The ideal candidate will have the ability to manage transaction components independently and take on increasing deal leadership responsibility within a nationally recognized private equity platform.

Key Responsibilities:

• Represent private equity sponsors and portfolio companies in acquisitions, dispositions, and investments

• Manage key components of complex M&A and private equity transactions from diligence through closing

• Draft and negotiate transaction documents and coordinate deal execution

• Collaborate with partners, specialists, and client teams across transactions

• Support ongoing growth of a national private equity practice

Qualifications:

• 3–7 years of private equity and M&A experience at a sophisticated law firm

• Demonstrated experience handling private equity transactions from start to finish

• Strong academic credentials

• JD from an accredited law school

Compensation:
$260,000 – $420,000 base salary, depending on experience.
