GEP is targeting $1B in revenue over the next 4–5 years, fueled by investment in AI, platform expansion, and global client development. The legal function is a critical enabler of that growth, and this role sits at its center.

Position Overview

GEP is seeking an experienced, commercially sophisticated Manager – Corporate & Employment to join its team in Clark, New Jersey. The attorney will serve as a trusted advisor on the legal dimensions of a high-growth, AI-forward global enterprise. This is a dual-discipline role in which you will take ownership of two core areas of legal risk and activity: supporting corporate transactions and entity management — including the formation and dissolution of group entities and M&A activity — and acting as an in-house adviser on employment law matters. You will work closely with the Finance, HR, and senior leadership teams, delivering clear, practical legal advice in a fast-paced environment where both precision and pragmatism are valued.

Key Responsibilities

1. Corporate Scope

• Manage the end-to-end formation of new legal entities across domestic and international jurisdictions.
• Oversee the dissolution, winding-up, and deregistration of entities, coordinating with local counsel, internal stakeholders, and regulatory authorities, as required.
• Maintain accurate and up-to-date corporate records for all group entities, including registers of directors, shareholders, and statutory filings.
• Advise on corporate governance matters for group entities, including board composition, director appointments and resignations, and compliance regulations.
• Manage relationships with registered agents/directors, local counsel, and other providers across multiple jurisdictions.
• Support M&A transactions from inception through to completion.
• Assist with legal due diligence, including reviewing and reporting on target company structures, employment matters, litigation, and regulatory compliance.
• Draft and negotiate transaction documents, including letters of intent, non-disclosure agreements, share purchase agreements, asset purchase agreements, and disclosure letters.
• Coordinate with internal stakeholders (Finance, Tax, HR, Operations) and external advisers to manage transaction workstreams and meet deal timetables.
• Support post-completion integration activities, including entity restructuring and consolidation of corporate records.

2. Employment Scope

• Advise on the employment law aspects of M&A transactions, including workforce integrations and harmonization of employment agreements.
• Serve as an in-house legal adviser on employment law matters, covering the full employee lifecycle from hiring through to separation.
• Draft, review, and maintain templates for employment contracts, offer letters, and settlement agreements.
• Advise HR on disciplinary and grievance matters, performance management, redundancy and restructuring processes, and absence management.
• Manage claims and pre-litigation disputes, including instructing and supervising external employment counsel, where necessary.
• Monitor and advise on changes in employment legislation, ensuring company policies and practices remain legally compliant and current.
• Provide training and practical guidance to HR and line managers on employment law developments and best practice.

3. Internal Collaboration & Legal Operations

• Serve as a business-oriented legal partner to Finance, HR, and Executive leadership, building trust through responsiveness and a solutions-oriented approach.
• Mentor corporate paralegals and share knowledge across the global team.
• Contribute to process improvement, technology adoption, and legal operations maturity as GEP scales.

Requirements

• J.D. from an ABA-accredited law school; active bar membership in New Jersey or another U.S. jurisdiction, or eligibility for in-house counsel registration in New Jersey.
• Minimum 3–5 years of post-bar experience, preferably combining law firm (commercial transactions or technology practice) and in-house counsel.
• Hands-on experience in corporate law, including entity formation and dissolution, corporate governance, and M&A transactions.
• Experience managing entity portfolios across multiple jurisdictions, including liaison with local counsel and registered agents.
• Familiarity with the employment law aspects of corporate transactions.
• Ability to manage a varied workload independently and under time pressure.
• Strong written and verbal communication skills, with the ability to advise non-lawyers clearly and concisely.
• Strong business acumen: ability to legal issues into actionable guidance for non-legal stakeholders and make principled, risk-based recommendations.

Preferred Qualifications

• Prior in-house legal experience at a global technology, SaaS, or professional services / consulting firm.
• Exposure to cross-border employment matters and international workforce issues, including disciplinary processes, terminations, restrictive covenants, and employment tribunal claims.

Salary Range: $140,000 – $160,000 annually, based on experience and qualifications.
