As a Silvi Materials Assistant Corporate Counsel , you will play a pivotal role in ensuring that legal tasks are handled with precision and professionalism, working alongside our Corporate Counsel. You will have the opportunity to tap into a broad range of legal issues, including corporate transactional work, employment & labor law, regulatory compliance, and litigation management. As a member of an in-house corporate legal team, your contributions will impact all aspects of the way we do business, from vendor relationships to merger & acquisition work. You'll be an integral part of our team: Assist our Corporate Counsel to build, scale, and drive enterprise-wide legal strategies and initiatives. Draft, review, and negotiate various commercial agreements, including customer agreements, vendor contracts, and partnership agreements. Assist with corporate filings, including formation and dissolution of corporations, partnerships, and limited liability companies. Conduct research and analysis of legal issues related to corporate law, labor & employment law, and business transactions. Gather and preserve data, documents, and information to drive the legal departments responses to discovery requests and subpoenas. Interface with outside counsel in ongoing litigation and corporate transactions to ensure Silvi is providing requested documents and support. Maintain corporate records and manage document databases. Assist with regulatory compliance, including preparing and filing regulatory reports. Draft and review legal correspondence, agreements, and other legal documents. Provide administrative support to the corporate counsel, including scheduling meetings, managing calendars, and maintaining electronic and paper filing systems. Draft, review, and negotiate various commercial agreements, including customer agreements, vendor contracts, license agreements, and partnership agreements. Support corporate governance and board matters, including preparing resolutions. Collaborate with cross-functional teams to ensure that legal and business objectives are aligned and met. Monitor and keep the company informed of relevant legal developments, regulatory changes, and industry trends. Assist with any other legal or compliance-related matters, as needed. Qualifications Required: Juris Doctor (J.D.) degree from an accredited law school and an active member in good standing of at least one state bar. Minimum of 2 years of legal experience, preferably with a combination of law firm and in-house experience. Demonstrated expereince in corporate law, contracts, and compliance matters. Exceptional communication, negotiation, and interpersonal skills, with the ability to build strong relationships with internal and external stakeholders. Strong analytical, problem-solving, and organizational skills, with the ability to manage multiple projects simultaneously. A proactive, business-minded approach to problem-solving, with a commitment to providing practical legal advice and solutions.
