Morgan Asset Management Americas Institutional team, you will support an Institutional Americas asset management platform with hundreds of billions in assets under management and a global asset and wealth management business with more than $7 trillion in client assets. The role includes both the formation of new private funds and the maintenance of existing funds, as well as broad coverage of institutional asset management matters, including client contracting and distribution support. You will utilize your expertise in private funds and in-depth knowledge of investment management legal issues, including relevant regulations and guidance on investment advisory matters and bring a growth mindset to the role given the dynamic nature of the business. Morgan Asset Management Americas Institutional asset management business across a broad range of institutional products and client matters, including private funds, equities and separately managed accounts, as business priorities evolve.Provide legal support and advice regarding private funds, separately managed account mandates, funds-of-one, sub-advisory arrangements and other products and solutions.Advise the business on a wide range of legal and regulatory issues relevant to the formation, structuring and management of investment products, including drafting, reviewing and negotiating investment management agreements, side letters and other contracts.Provide distribution-related legal support for institutional asset management products, including partnering with stakeholders on product positioning, regulatory considerations and client communications as appropriate.Work closely with other members of the Legal Department and other control functions (for example, compliance and risk) to identify, escalate and resolve issues, including coordination across regions as needed.Participate in business committees and collaborate with colleagues across product strategy and development, finance, marketing, portfolio management, compliance, risk and the Legal Department.Oversee and manage outside counsel efficiently, including engagement scope, spend management and quality control.Coordinate as needed with other divisions within Asset and Wealth Management.Provide legal support for institutional client diligence, including due diligence questionnaires and responses to requests for proposal.Provide legal support for special projects and cross-business initiatives, including providing coverage outside core product areas as needed.Perform additional duties as assigned to ensure high-quality legal support for the business.Required Qualifications, Capabilities, And SkillsJuris Doctor degreeMinimum of 5 years of relevant law firm experiencePrivate funds experience, including fund formation and lifecycle eventsExperience negotiating side letters and other investor termsKnowledge of investment management legal issues, including pertinent regulations and guidance on investment advisory mattersKnowledge of relevant laws (for example, the Investment Advisers Act)Demonstrated legal analytical, drafting and negotiation skillsDemonstrated strong interpersonal, communication (verbal and written), and organizational skills, with proven ability to serve as a trusted advisor to business partners or clientsProven ability to work independently, prioritize multiple projects, and manage competing deadlines effectivelyProactive, responsive, and dynamic team player with a solutions-oriented mindset and strong judgmentKnowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934 in relevant contextsPreferred Qualifications, Capabilities, And SkillsIn-house experience supporting an asset management or investment management businessExperience with institutional separately managed accounts, sub-advisory arrangements and complex client negotiationsUnderstanding of ERISA and the Bank Holding Company ActExperience with the Investment Company ActFamiliarity with the Securities and Exchange Commission marketing rule and related advertising and solicitation considerationsExperience advising on tokenized investment products and related legal/regulatory considerations.Experience supporting cross-border matters, including Europe, Middle East and Africa and Asia Pacific nexusAll candidates for roles in the Legal Department must be licensed to practice law in the country of employment and successfully complete a conflicts of interest clearance review prior to commencement of employment.About UsJPMorganChase, one of the oldest financial institutions, offers innovative financial solutions to millions of consumers, small businesses and many of the world's most prominent corporate, institutional and government clients under the J.P.
