This position can be hybrid out of our Knoxville, TN office, or 100% remote. The Essential Duties and Responsibilities are intended to present a descriptive list of the range of duties, but not all duties performed for this position. Other duties may be assigned. The Corporate Paralegal is responsible for the day-to-day administration of corporate registrations, business and professional licensing, recurring state filings, and business certifications across the company’s portfolio of subsidiaries. This position will independently manage filing requirements, renewal calendars, supporting documentation, and related third-party platforms to ensure entities remain properly registered, licensed, certified, and in good standing in applicable jurisdictions. The ideal candidate has hands‑on experience with corporate filing and licensing processes and is comfortable independently navigating Secretary of State, licensing agency, certification, and registered‑agent systems with limited direction. Key Responsibilities Corporate Registrations & Multi‑State Filings Foreign Qualifications: Prepare and submit foreign qualification and registration filings for corporate entities entering new state jurisdictions. Annual & Periodic Filings: Track, prepare, and submit annual reports, periodic reports, franchise tax renewals, and similar recurring entity filings. Good Standing: Monitor entity status and address filing deficiencies or other administrative issues necessary to maintain entities in good standing. State Filing Systems: Independently navigate Secretary of State and other state filing portals to research requirements, prepare filings, obtain records, and monitor filing status. Corporate Documentation: Obtain certificates of good standing, certified copies, organizational documents, and other corporate records as needed to support registrations, licensing, certifications, and business operations. CSC Registered Agent Administration Vendor Liaison: Serve as the primary point of contact for CSC (Corporation Service Company). Platform Administration: Manage the company profile within the CSC entity management platform. Service of Process: Review, log, and route incoming legal service of process (SOP) notifications from CSC. Invoice Auditing: Audit and approve CSC billing, annual service fees, and disbursement expenses. Certification Management (MBE / DBE) Application Prep: Compile complex financial, governance, and ownership documents for new certifications. Disadvantaged Business: Manage Disadvantaged Business Enterprise (DBE) filings with state Departments of Transportation. Minority Business: Secure and renew Minority Business Enterprise (MBE) credentials with regional councils. Audit Support: Collect data and evidence for desk audits or site visits from certifying bodies. Business and Professional Licensing (Sector Specific Support) Business Licenses: Identify, obtain, track, and renew state and local business licenses and registrations required for company operations. Professional & Contractor Licensing: Coordinate applications and renewals for contractor, professional, trade, and other operational licenses, including collection of required qualifying‑party or employee information. License Administration: Maintain licensing calendars and records, monitor expiration dates, and coordinate supporting documentation with internal stakeholders. Regulatory Filings: Independently navigate applicable state and local licensing portals and agency processes and follow through on applications, renewals, and administrative deficiencies. Environmental Licensing: Track specialized state environmental permits, contractor licenses, and operator registrations. Commercial Contracting: Provide due diligence documentation, certificates of good standing, and resolutions for commercial bids. Additional Corporate & Operational Support Maintain organized records of registrations, licenses, certifications, filings, and supporting documentation. Provide certificates of good standing, licenses, registrations, resolutions, and other corporate documentation for proposals, contracts, audits, and business operations. Coordinate with Legal, Compliance, Finance, Operations, Proposals, and other internal teams to obtain information necessary to complete filings and maintain registrations. Research administrative filing and licensing requirements in new jurisdictions and identify required forms, documentation, fees, and renewal requirements. Track filing deadlines and proactively initiate renewals and recurring filings to avoid lapses. Perform other corporate paralegal and administrative filing support as needed. Minimum Qualifications: To perform this position successfully, an individual must be able to perform each essential duty satisfactorily. The qualifications listed are representative of the knowledge, skill, and/or ability required. Experience: 3 to 5 years of corporate paralegal or equivalent experience. Tech Proficiency: Hands‑on experience using CSC Navigator or similar CSC corporate portals. Niche Knowledge: Direct experience with ANC, SBA 8(a), or federal government contracting rules. Certification Expertise: Proven track record navigating DOT/UCP portals for DBE status. Systems: Familiarity with SAM.gov, state corporate registries, and entity management software. Education: Paralegal certificate or an Associate/Bachelor’s degree. Organization: Strong ability to manage high volumes of entities, jurisdictions, deadlines, renewals, and supporting documentation with minimal supervision. Attention to Detail: Ability to accurately prepare filings, maintain records, identify missing information, and follow matters through completion. Communication: Ability to coordinate effectively with internal departments, government agencies, registered agents, and other third parties. Additional Qualifying Factors: As a condition of employment, you will be required to pass a pre‑employment drug screening (post accepted offer) and have acceptable background check results. If applicable to the contract, you must also obtain the appropriate clearance levels required and be able to obtain access to military installations. Essential and marginal functions may require maintaining physical condition necessary for bending, stooping, sitting, walking or standing for prolonged periods of time; frequent opportunity to move about and to work outside the office environment for extended periods involving exposure to the elements with weather that will include extreme heat, cold, wind, rain or other inclement weather, walking over rough and uneven surfaces, and routine lifting of up to 35 pounds. If required, must properly use personal protective equipment (PPE) at all times including but not limited to: hard hats, steel toed boots, eye protection, respiratory protection, and hearing protection. Must always maintain a constant state of mental alertness. Working Conditions: Job is performed in a combination of office and outdoor site locations. The office setting includes exposure to computer screens and requires extensive use of a computer, keyboard, and mouse. Outdoor settings include walking, driving, and carrying supplies throughout all seasons with exposure to heat and cold conditions, and potentially wildlife. Is occasionally exposed to fumes or airborne particles, toxic or caustic chemicals and loud noise.
