Overview

A prestigious international law firm is seeking a Senior Corporate Associate to join its Palo Alto office. This role is ideal for an attorney with 5+ years of experience in venture capital and mergers and acquisitions, looking to work with innovative startups, established companies, and leading investors in the heart of Silicon Valley.

The ideal candidate will bring deep experience advising emerging companies and venture investors, handling complex M&A deals, and contributing strategic insight to help clients grow and succeed.

Key Responsibilities

• Advise startups, venture funds, and corporate clients on venture capital financings, M&A transactions, and strategic partnerships.
• Draft and negotiate investment agreements, merger documents, and corporate governance materials.
• Provide counsel on entity formation, capitalization, and general corporate matters.
• Participate in client meetings and negotiations with company founders, boards, and investors.
• Collaborate across practice groups to deliver seamless, full-spectrum legal solutions.
• Mentor junior associates and contribute to firm-wide business development initiatives.

Qualifications

• Juris Doctor (JD) from an accredited law school with strong academic credentials.
• 5+ years of relevant corporate transactional experience, including venture capital and M&A work.
• Admission to the California Bar required.
• Excellent drafting, analytical, and communication skills.
• Demonstrated ability to manage multiple transactions simultaneously in a fast-paced environment.
• Strong leadership presence with a team-oriented mindset.
