Corporate Legal Assistant / Corporate Paralegal

Full-time person needed to help us manage our workload and earn our undying gratitude. We are a small corporate transactional and litigation law firm located in the financial district, one block from Montgomery Street BART station.

REQUIREMENTS

Excellent organizational skills, good problem-solving traits, team player, pleasant and good-humored, able to multitask, attentive to detail, and strong communication skills; College degree or Paralegal Certificate or equivalent; 2 years law office experience a plus; Familiarity with corporate transactional work and various filing procedures a plus; Experience with Microsoft Office, Adobe, OCR, Westlaw, LexisNexis and electronic calendaring programs (experience with electronic news letters, website changes/additions and some IT experience a plus).

RESPONSIBILITIES

Provide general legal and administrative support to 3 transactional attorneys, 1 trademark attorney and Firm Administrator; Create and maintain Corporate Minute Books and Share Journals, assist with entity formation, including checking corporate name availability, reserving corporate names, and preparing drafts of corporate organizational documents; assist with ongoing operations of corporations and corporate records maintenance; prepare foreign qualifications, withdrawals, and dissolutions; File or assist in the filing of corporate documents with the Secretary of State, Department of Corporations, and SEC; Maintain list of current transactional matters and related files; Legal/Factual research using Westlaw, LexisNexis or other internet databases; Maintain corporate transactional files and trademark files; Reception relief whenever receptionist is out sick or on vacation; Formatting of transactional legal documents using Word and Excel; Mailing of documents and letters; Be prepared to learn about and assist in a large variety of legal and administrative tasks as required; Writing basic correspondence as needed; Creating and updating Excel spreadsheets; General administrative tasks such as copying, scanning, faxing, etc.; Research securities and filing requirements; prepare and file “Blue Sky” and SEC registrations; Perfection of Security Interest under the Uniform Commercial Code; Prepare and file documents and forms for ongoing corporate operations; Assist with proofreading and redlining of documents; Conduct research and perform library and online searches; work with outside libraries and staff to obtain reference materials.

COMPENSATION & BENEFITS

Compensation: between $75,000 and $80,000, depending on experience; Benefits include Health Insurance, 401K, Profit Sharing Contributions to 401K, federal holidays and paid time off.

ADDITIONAL
