Corporate Paralegal

Our client is a large international law firm that is a highly rated employer and consistently named to FORTUNE magazine’s list of the “100 Best Companies to Work For”. They are currently seeking a Corporate Paralegal for their San Francisco or Palo Alto Office. They have a 3 in office and 2 remote hybrid schedule. Responsibilities Manage complex cap tables, equity records, stock option activity, and capitalization data using Carta, while supporting venture financings and other corporate transactions. Prepare, review, and file corporate, securities, and entity formation documents, including state filings, EDGAR submissions, and related regulatory materials. Coordinate financings, mergers, acquisitions, and other transactional closings, including diligence, document management, and closing deliverables. Maintain corporate records, ownership ledgers, governance documents, and organizational databases for a large portfolio of emerging growth clients. Serve as a key point of contact for attorneys, partners, clients, and outside vendors, ensuring timely communication and exceptional client service. Conduct legal and factual research, prepare transactional documentation, and support ongoing corporate maintenance and compliance matters. Qualifications 6+ years of corporate paralegal experience supporting emerging growth, venture-backed, private, and/or public companies. Advanced expertise with cap tables and equity administration, including fluency with Carta; experience with Mantle and/or Pulley is highly preferred. Current EDGAR filing experience, including EDGAR Next, along with securities filings and corporate governance knowledge. Strong Excel, organizational, and communication skills with the ability to manage multiple attorneys, clients, and competing priorities in a fast-paced environment.
