Philadelphia | Hybrid Corporate Associate Attorney - Life Sciences AmLaw 50 Opportunity A leading international law firm is seeking a Corporate Associate Attorney to join its highlyregarded Life Sciences practice in Philadelphia. This opportunity is ideal for an attorney interested in representing venture-backed life sciences, healthcare, biotechnology, and technology companies throughout every stage of the corporate lifecycle, from formation and financing through public offerings, strategic transactions, and exits. The Role • Venture capital and growth equity financings • Public company representation and securities compliance • Initial Public Offerings (IPOs) • Registered equity offerings • Mergers & acquisitions transactions • Corporate governance and general corporate counseling • Representation of emerging growth and life sciences companies • Direct client interaction and substantive transactional responsibility • Collaboration with a nationally recognized Life Sciences and Emerging Companies platform Ideal Background • Approximately 2-4 years of corporate transactional experience • Experience with venture capital financings, public company work, securities matters, M&A transactions, or corporate governance preferred • Experience with registered equity offerings and ongoing SEC reporting obligations strongly preferred • Experience representing life sciences, biotechnology, healthcare, or technology companies is a plus but not required • Strong drafting, analytical, and communication skills • Excellent academic credentials • Juris Doctor from an ABA-accredited law school required • Active Pennsylvania bar admission required or ability to waive in Why This Opportunity • Industry-leading Life Sciences platform • Representation of innovative and high-growth companies throughout the United States and internationally • Exposure to venture capital, public company, and M&A transactions within a single practice • Direct client interaction and meaningful responsibility early in your career • Strong mentorship and professional development opportunities • Collaborative national and international platform • Clear long-term partnership and career growth opportunities Compensation Expected compensation ranges from approximately $260,000 - $390,000+ depending on class year, experience, and overall qualifications.
