Corporate Legal Assistant – Atlanta

The firm is seeking a Corporate Legal Assistant to provide administrative and legal support to attorneys and paralegals within the Corporate practice group in its Atlanta office. This role supports attorneys handling mergers and acquisitions, leveraged buyouts, public offerings, venture capital financings, private offerings, and other corporate transactions. Responsibilities include assisting with corporate amendments, mergers, dissolutions, SEC and UCC filings, preparing closing binders and transactional document sets, opening and maintaining client files, processing conflict checks, coordinating engagement documentation, and maintaining billing and database records. The position also involves proofreading legal documents and correspondence, managing attorney calendars and travel arrangements, coordinating meetings and closings, responding to client inquiries, and providing overflow support to other practice groups as needed.

Qualified candidates should have at least 2 years of experience working as a legal assistant within a corporate practice group in a law firm environment. Candidates should possess knowledge of corporate legal terminology, corporate filing procedures, and legal documentation related to corporations and partnerships. Familiarity with SEC filings, UCC filings, corporate governance documents, and compensation or benefit plans is preferred. Strong organizational, communication, proofreading, and multitasking skills are essential, along with proficiency in general office and legal administrative procedures.

This position follows a primarily in-office hybrid schedule in the Atlanta office with limited remote flexibility. Overtime may be required as needed. The firm offers a competitive salary, 401(k), profit sharing, and a comprehensive benefits package.
