Location Options New York City (4 days onsite, 1 day remote) Atlanta: REMOTE Texas: REMOTE Why join us Comprehensive benefits package Job Details We are seeking a detail-oriented Corporate Paralegal to support the firm’s corporate practice. The ideal candidate will assist attorneys with transaction support, corporate governance, compliance, and document drafting and management to ensure efficient, high-quality legal services for our corporate clients. Responsibilities Prepare, proofread, and manage corporate documents including formation documents, resolutions, bylaws, minutes, stock/unit transfer documents, shareholder agreements, and corporate filings. Support mergers & acquisitions, financings, restructurings, and other transactional matters: assemble closing binders, manage due diligence requests, prepare closing checklists, and coordinate signatures and filings. Maintain and update corporate entity records, calendars for filing deadlines, and corporate governance schedules. Conduct legal and business research; summarize findings for attorneys and clients. Draft correspondence, memos, summaries, and standard contract templates (NDAs, service agreements, purchase agreements) under attorney supervision. Communicate with clients, opposing counsel, title companies, and government agencies on routine matters.
