Job Description
Summary:
This role is ideal for an experienced Corporate Paralegal with a strong background in corporate governance and transactional support. You will support attorneys within a Venture Capital and Technology practice, assisting with corporate filings, entity management, and M&A transactions. The position requires strong attention to detail, organizational skills, and the ability to manage multiple priorities in a fast-paced legal environment.
What You’ll Do:
- Prepare and file corporate documents, including amendments, mergers, dissolutions, and conversions.
- Maintain corporate records, minute books, stock ledgers, and ownership documentation.
- Draft and submit IRS forms (EIN applications, S-Elections) and manage compliance filings.
- Assist with mergers and acquisitions, including disclosure schedules and closing checklists.
- Manage UCC filings and conduct lien, litigation, and bankruptcy searches.
- Organize data rooms and support document production for transactions.
- Prepare and file annual reports and ensure compliance with regulatory requirements.
Experience You’ll Need:
- 3+ years of corporate paralegal experience in a law firm setting.
- Strong knowledge of corporate governance, filings, and transactional processes.
- Experience supporting M&A transactions and corporate structuring.
- Proficiency in legal technology tools and document management systems.
- Strong analytical, organizational, and communication skills.
- Ability to manage multiple deadlines in a fast-paced environment.
