Corporate Paralegal

The Corporate Paralegal provides legal and administrative support to the organization's legal team. This role is responsible for independently reviewing and negotiating routine legal documents, maintaining legal records and contract databases, supporting corporate governance activities, assisting with transactional and compliance matters, and coordinating legal processes in a fast-paced corporate environment. The Corporate Paralegal exercises sound judgment, maintains confidentiality, and collaborates with internal stakeholders and external business partners to support the company's legal, contractual, and compliance objectives. Responsibilities Maintain and administer legal databases, including employment agreements, customer contracts, vendor agreements, leases, and related legal records. Review and approve vendor insurance documentation, including certificates of insurance (COIs) and endorsements. Independently review, revise, and negotiate non-disclosure agreements (NDAs) and other routine legal documents. Prepare, edit, proofread, and format legal documents to ensure accuracy, consistency, and professional presentation. Complete customer representations, certifications, and other legal support documentation. Support contract review and administration processes across the organization. Assist with corporate governance activities, including maintaining corporate records and supporting entity management requirements. Support merger and acquisition due diligence activities and related corporate transactions. Respond to subpoenas and other court-ordered requests for production of records and documents. Assist attorneys with collections matters, claims management, and litigation support activities. Verify international business partners are not included on applicable U.S. Government sanctions lists. Provide administrative support and complete special projects and assignments as needed. #J-18808-Ljbffr
