About the Role
The Company is seeking an Associate General Counsel with a focus on MGA and corporate compliance. The successful candidate will be the primary legal advisor for the company's MGA platform and corporate governance function. This role involves a range of responsibilities, including drafting and negotiating commercial agreements, providing legal advice on MGA operations, and supporting strategic M&A transactions. The Associate General Counsel will also be tasked with managing corporate governance for a large number of domestic and international legal entities, overseeing entity management, and coordinating the company's trademark portfolio. Applicants should have a preferred background of over 8 years in insurance legal experience, with a specific focus on MGAs, carriers, or reinsurance platforms. Strong commercial contracting and corporate governance experience are essential, as is exposure to reinsurance/fronting programs and insurance regulatory matters. The role requires a candidate who is comfortable operating as a senior, business-facing attorney in a lean legal department and who has experience in M&A transaction support. The Associate General Counsel will also be expected to partner with executive leadership on legal risk, governance, and strategic initiatives, and to supervise paralegals in the legal department.
