ASSOCIATE ATTORNEY, COMMERCIAL REAL ESTATE & FINANCE TRANSACTIONS

DarrowEverett LLP is seeking an Associate Attorney to join one of our Florida offices in Tampa, Boca Raton, or Coral Gables. This position is ideal for an attorney with experience in commercial real estate, commercial lending, finance transactions, and related corporate transactional matters. The ideal candidate will have experience assisting developers, investors, lenders, borrowers, and business entities with commercial real estate transactions, financing transactions, acquisitions, dispositions, and related business matters. Role & Responsibilities Assist in the structuring, negotiation, and closing of commercial real estate and finance transactions. Represent developers, investors, lenders, borrowers, and business entities in connection with commercial real estate acquisitions and dispositions, financing transactions, joint ventures, and related business transactions. Draft, review, and negotiate purchase and sale agreements, loan agreements, financing agreements, operating agreements, partnership agreements, shareholder agreements, commercial contracts, license agreements, service agreements, non-disclosure agreements, restrictive covenant agreements, and related transaction documents. Assist with commercial real estate financing transactions involving mortgages, deeds of trust, secured lending arrangements, and related collateral documentation. Assist with the structuring, documentation, due diligence, and closing of transactions involving the development, redevelopment, and rehabilitation of affordable housing, public housing, and tax credit properties. Support transactions utilizing HUD mixed-finance programs, Rental Assistance Demonstration (RAD), Choice Neighborhoods Initiative (CNI) funding, Low-Income Housing Tax Credits (LIHTC), tax-exempt bonds, private debt financing, public grants, and other public-private financing programs. Conduct due diligence, including review of title commitments, title insurance policies, surveys, environmental materials, and transaction documentation. Review and prepare title objections, closing documents, deeds, authority documents, wire transfers, and related closing materials. Assist with transaction closings and post-closing administration. Research legal issues relating to business and real estate transactions and provide analysis. Assist with risk analysis and transaction-related legal issues. Coordinate with clients, lenders, borrowers, title companies, consultants, and opposing counsel throughout the transaction process. Manage multiple assignments and transaction components in a fast-paced environment. Qualifications J.D. from an accredited law school. Active membership in good standing with the Florida Bar. 3-7 years of transactional experience in commercial real estate, commercial lending and finance, corporate transactions, or a combination thereof. Experience with commercial real estate acquisitions and dispositions, finance transactions, or related business transactions. Familiarity with commercial real estate finance and secured lending transactions. Experience with or exposure to affordable housing, public housing redevelopment, HUD-assisted housing programs, LIHTC transactions, tax-exempt bond financings, RAD transactions, CNI projects, and public-private development transactions preferred Experience drafting and negotiating operating agreements, partnership agreements, shareholder agreements, loan agreements, financing agreements, and commercial contracts preferred. Strong oral and written communication skills. Ability to organize factual and legal data into clear and logical arguments. Ability to handle sensitive matters on a confidential basis. High degree of initiative, mature judgment, and discretion. Strong organizational and time-management skills. Ability to work collaboratively in a fast-paced, team-oriented environment.
