Corporate Paralegal - West Los Angeles Position Summary Monday–Friday, 5 days in office $30–$45/hour, depending on experience Temporary with potential for temp-to-hire Paralegal certificate required A mid-size boutique law firm in West Los Angeles is seeking an experienced Corporate / Transactional Paralegal to provide coverage during a leave of absence. This is a temporary opportunity with the possibility of transitioning to a permanent position. Responsibilities Assist with the formation and maintenance of corporations, LLCs, and other business entities in California, Delaware, and Nevada. Support corporate governance and ongoing entity compliance matters. Prepare and maintain board and stockholder consents, transaction documents, and corporate records. Assist with venture capital and private equity financings, from seed-stage through later-stage rounds. Support M&A transactions on the buyer and/or seller side, including due diligence and closings. Maintain capitalization tables and assist with equity issuances and equity plans. Coordinate transaction documents, signatures, filings, and closing materials. Manage multiple matters and deadlines while communicating with attorneys, clients, and external parties. Qualifications At least 2 years of recent, continuous corporate or transactional paralegal experience, preferably in a law firm environment. Paralegal certificate required. Familiarity with California, Delaware, and Nevada business entities, including corporations and LLCs. Experience with entity formations, corporate governance, and ongoing compliance. Experience supporting venture/private equity financings and M&A transactions. Experience with capitalization tables, equity issuances, and corporate records. Strong organizational skills with the ability to manage multiple matters and competing deadlines. Excellent attention to detail and accuracy in document preparation and filings. Strong written and verbal communication skills with the ability to coordinate effectively with attorneys, clients, and outside parties. #J-18808-Ljbffr
