CLO Structured Finance Associate Attorney

Direct Counsel is seeking a Structured Finance Associate Attorney with 2–8 years of experience to join a leading global law firm and its sophisticated Structured Finance practice.

Position Overview

The ideal candidate will have substantial experience in structured finance , with a strong focus on Collateralized Loan Obligations (CLOs) and/or middle-market leveraged loans. This role offers the opportunity to work on innovative and complex transactions while advising sophisticated financial institutions, investment managers, investors, arrangers, and issuers.

Responsibilities

• Advise clients on the structuring, execution, and closing of CLO transactions , particularly those involving middle-market and broadly syndicated leveraged loans.
• Represent arrangers, managers, investors, issuers, and other participants in structured finance transactions.
• Draft, review, and negotiate transaction documentation and related agreements.
• Advise clients on regulatory and compliance matters associated with CLO and structured finance transactions.
• Support clients throughout the transaction lifecycle, from initial structuring through closing.
• Manage multiple transactions and competing deadlines in a fast-paced environment.
• Collaborate with attorneys and professionals across practices to develop practical and effective solutions for clients.
• Maintain strong client relationships and provide responsive, business-oriented legal advice.
• Stay current on developments in structured finance markets, CLO structures, leveraged lending, and applicable regulatory requirements.

Qualifications

• 2–8 years of structured finance experience , with significant exposure to CLOs and/or middle-market leveraged loans .
• Four to seven years of relevant law firm experience preferred.
• Demonstrated experience with structured finance transaction documentation.
• Strong drafting, negotiation, analytical, and communication skills.
• Ability to manage multiple sophisticated transactions and deadlines simultaneously.
• Highly motivated with exceptional attention to detail.
• Strong client service skills and professional judgment.
• Ability to work effectively both independently and as part of a collaborative team.
• J.D. from an accredited law school.
• Admission to a U.S. State Bar required , with satisfaction of any applicable admission requirements for the office jurisdiction.

Compensation

The anticipated salary range for this position is $235,000–$435,000 annually , depending on qualifications, experience, geography, and other relevant factors. This position is also eligible for a discretionary annual merit bonus .
