Registered Funds Attorney

Job Description:
My client, a leading fintech, is seeking a Funds Attorney to provide legal and regulatory support across a diverse range of investment products, including open-end mutual funds, closed-end funds, unit investment trusts (UITs), collective investment trusts (CITs), exchange-traded funds (ETFs), and other registered investment vehicles.
Responsibilities:
- Provide legal and regulatory advice relating to open-end mutual funds, closed-end funds, ETFs, UITs, CITs, and other registered investment products
- .Draft, review, and maintain registration statements, prospectuses, statements of additional information (SAIs), shareholder communications, and SEC filings
- .Support new product launches, fund reorganizations, mergers, liquidations, and other strategic initiatives involving investment vehicles
- .Advise business, product, compliance, and operations teams on matters arising under the Investment Company Act of 1940, Investment Advisers Act of 1940, and other applicable securities laws and regulations
- .Review and negotiate agreements with fund service providers, including custodians, administrators, transfer agents, distributors, sub-advisers, and other third-party vendors
.
Qualification
- s:Juris Doctor (J.D.) from an accredited law school and active bar membership in good standin
- g.6+ years of experience within a fintech, asset manager, investment adviser, financial institution, or law firm supporting registered investment product
- s.Strong knowledge of the Investment Company Act of 1940 and related securities laws governing registered fund
