Location: New YorkDepartment: LegalExperience Level: Experience ProfessionalsContact: Dave PreziosoJob ID: REQ8227In the role of Corporate Counsel, you will be responsible for:Negotiating documentation for a wide variety of:private transactions to purchase and/or sell private company interests (including familiarity with purchase agreements, convertible promissory notes, limited partnership agreements, limited liability company agreements, and investor rights agreements);private and public capital markets transactions, including PIPEs, SPACs, warrant purchases, and debt financings (including high yield and convertible notes);joint ventures;licensing and technology transactions; andcredit facilitiesProviding advice and insight for SPVs and other structuresGeneral corporate matters (e.g., board meetings, entity formation, drafting governance documents, resolutions, etc.)Reviewing and interpreting international, state and federal laws and regulations as well as perform research, provide insight and make recommendations based on best practicesWorking both independently and in a highly collaborative environment, with good judgment regarding when to escalate issuesReviewing and responding to legal inquiries raised by business units or departmentsBuilding interpersonal relationships with all levels the business in order to facilitate interdepartmental collaborationQUALIFICATIONS:In order to effectively represent BAM and communicate with clients, you must be someone who has:Excellent written and verbal communication skills as well as negotiation experiencePractical experience with legal matters in financial services industry is preferredStrong transactional experience, including understanding of how various capital markets transactions are settled and tradedStrong knowledge of securities laws and regulations, including understanding of the ’33 Act, the ’34 Act and the Nasdaq/NYSE listing rules is preferredThe ability to coordinate with and effectively manage external legal counselDesire to work collaboratively with the teamMaintains a high standard of professionalism in all dealings with internal staff and any external partners, clients and regulatory agenciesProblem solving skills and ability to identify and implement appropriate solutionsThe ability to prioritize and manage multiple tasks and projects concurrently to meet deadlinesConsistent work ethic through hard work, confidence and effortOutstanding attention to detail and strong organization skillsEDUCATION, TRAINING & EXPERIENCE:JD and at least 3 years of combined legal experience at a law firm and/or in-house at hedge fund or private equity fund.
