Corporate Counsel, Contracts

Overview Responsible for negotiating, writing, reviewing, summarizing, researching and executing a wide variety of agreements, including capacity agreements, reinsurance agreements, retail agent and other distribution agreements, vendor agreements, terms and conditions, as well as providing general corporate legal support. Maintains a solid understanding of ANV’s mission, vision, and values. Responsibilities Negotiate, write, and execute agreements and contractsOffer counsel on a variety of legal issues and ensure legal objectives are metAdvise executives on contract status, legal risks and business terms of various dealsProvide supporting assistance with joint ventures, strategic partnership deals, and mergers and acquisitionsDraft terms and conditions in agreementsResearch unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codesKeep abreast of legislative changes that may affect the company and its affiliatesReview advertising and marketing materials to ensure compliance with legal requirementsProvide training to company and its affiliates on substantive legal topicsKeeps current with market trends and demands.Performs other functionally related duties as assigned. Qualifications Juris Doctorate from a nationally recognized law schoolNo less than 5 years law firm and/or in-house experience with an emphasis on negotiating and drafting legal documentsExperience in the insurance industry preferredDemonstrated experience identifying and resolving legal issues quickly and effectively and ability to make on the spot risk callsSelf-motivated team player with the proven ability to identify legal issues, manage priorities in a fast-paced environment, and exercise independent judgment to balance legal and business concerns within acceptable risk parametersStrong interpersonal skillsAdmitted to practice law in the United States, with preference for bar admission in either New York or Massachusetts.This job description is designed to provide a general overview of the requirements of the job and does not entail a comprehensive listing of all activities, duties, or responsibilities that will be required in this position.
