About the Role

The Company is seeking a General Counsel to serve as its lead legal representative and strategic advisor. The successful candidate will be responsible for multi-entity legal strategy, risk management, regulatory compliance, and transactional oversight across the company's various business segments. This role is particularly focused on litigation management, bankruptcy matters, workouts, restructures, and enforcement actions. The General Counsel will also be instrumental in moving the company towards a more institutional-grade legal function that can support scalable growth. Key responsibilities include serving as the principal legal advisor to the CEO and Board, overseeing all legal matters, and providing legal guidance on a wide range of issues, from credit agreements to M&A. The ideal candidate will have a business-first mindset, strong risk judgment, and the ability to operate at both strategic and tactical levels. Candidates for the General Counsel position at the company should have at least 5 years' of lead corporate counsel experience in commercial finance, equipment leasing, banking, or private credit, with a total of at least 10 years' of legal experience. Experience in regulated financial services environments and with high-growth or PE-backed companies is essential. The role requires a professional with a business-first mindset, strong risk judgment, and the ability to communicate effectively with executives and boards. The General Counsel will be expected to have a high level of integrity, discretion, and an ownership mentality, and to be comfortable with both strategic and tactical legal work. Responsibilities also include maintaining a clean regulatory posture, managing outside counsel relationships, and developing risk frameworks to prevent disputes.
