Corporate Associate – Mergers & Acquisitions Location: Multiple U.S. Offices | New York, Massachusetts, DC, Florida, Rhode Island A highly regarded, growth-focused law firm is seeking a mid-level Corporate Associate (5–7 years’ experience) to join its expanding transactional practice. This is an outstanding opportunity for an ambitious attorney looking to work on sophisticated, market-leading transactions alongside a collaborative team of accomplished corporate lawyers. This role is designed for attorneys who thrive in fast-paced deal environments and want meaningful responsibility on complex transactions from day one. Opportunity The successful candidate will advise clients across a broad spectrum of corporate transactions, with a strong emphasis on mergers and acquisitions, while also gaining exposure to high-value strategic matters across private equity, venture financings, joint ventures, capital markets, and corporate governance. You will take a lead role in managing transactions through the full deal lifecycle — from structuring and drafting through negotiation and closing — while working directly with clients, senior attorneys, and business stakeholders. Key Responsibilities Lead and support buy-side and sell-side M&A transactions Draft, review, and negotiate key transaction documents, including purchase agreements, merger agreements, operating agreements, and disclosure schedules Manage transaction processes from initial term sheets through closing Advise on private equity investments, venture debt and equity financings, and strategic joint ventures Support broader corporate governance and general corporate matters Coordinate diligence processes and oversee transaction timelines Collaborate across practice groups on complex, cross-disciplinary matters Ideal Candidate Profile JD required from an accredited law school 5–7 years of corporate transactional experience in a law firm environment Strong background in mergers & acquisitions, including both buy-side and sell-side transactions Excellent drafting, negotiation, and transactional management skills Strong analytical, writing, and communication abilities Proven ability to handle complex matters with precision and commercial awareness Licensed and in good standing in the jurisdiction where you intend to practice Benefits This position offers the opportunity to join a sophisticated corporate platform with a strong deal flow, a supportive team culture, and genuine opportunities for long-term career progression.
