Job Details

The firm is seeking a mid-level associate with meaningful capital markets and public company experience to join its New York practice. The ideal candidate will have experience executing registered securities offerings and working with public companies, issuers and/or underwriters on sophisticated transactional matters.

Responsibilities:

• Represent issuers, underwriters and other market participants in capital markets transactions
• Advise on initial public offerings, follow-on offerings and other registered securities offerings
• Draft and review registration statements, prospectuses and transaction documentation
• Coordinate offering processes involving clients, investment banks, auditors and opposing counsel
• Assist with underwriting agreements, comfort-letter processes, legal opinions and closing documentation
• Advise public companies regarding federal securities law and ongoing SEC reporting matters
• Support corporate governance and public-company compliance matters
• Manage significant components of transactions with increasing independence

QUALIFICATIONS:

• Approximately 3-6 years of relevant corporate and/or capital markets experience
• Meaningful experience with registered equity offerings, including IPOs and/or follow-on offerings
• Experience with public company and securities law matters
• Familiarity with the underwriting and offering process
• Comparable sophisticated law firm experience
• Strong academic credentials and written and verbal communication skills
• New York Bar admission or eligibility to obtain admission promptly
