Sr Associate, General Practice Group

Senior Associate – General Practice Group, Sullivan & Cromwell LLP Position located in New York, NY. The Senior Associate will work in the General Practice Group under partner supervision. Responsibilities Advise clients on structuring, documenting, negotiating and executing mergers & acquisitions transactions, including U.S. domestic and cross‑border public and private acquisitions, mergers, tender offers, private equity transactions, joint ventures and minority investments. Take the lead in drafting and reviewing all relevant transaction documentation such as merger agreements, stock/asset purchase agreements, tender offer documents, proxy statements, registration statements, financial advisor engagement letters, fairness opinions and board materials. Research, analyze, review, and draft memoranda, contracts and other agreements related to mergers & acquisitions. Negotiate and execute joint venture and other strategic partnership transactions. Represent acquirers, targets, issuers, underwriters, lenders and borrowers. Advise reporting persons on periodic reports under the Securities Exchange Act of 1934, stock exchange listing requirements, compliance with Regulation 13D, corporate governance matters, takeover defense and preparedness, and other corporate, partnership and securities law matters. Develop and present training materials for junior and mid‑level associates. Execute on certain business development and internal firm administrative initiatives. Qualifications J.D. or foreign equivalent. At least three (3) years of experience at an international law firm in M&A practice. Admitted to practice in the State of New York. Offered salary: $310,000 – $435,000 per year. Work schedule: 40 hours per week.
